    TERMS AND CONDITIONS 
     
    TERMS OF PAYMENT: Cash. Net 30 days from date of invoice on accounts with established credit. Late payment charge of 2% per month (which is an annual rate of 24%) will be added to past due accounts. Orders for shipment C.0.D. must be accompanied by a deposit of 50%.
     
    CONDITIONS OF SALE: All orders are accepted subject to crop failures, damage by natural causes, and we reserve the right to refund all or any part of payment made. We are careful to keep varieties true to name and will replace upon proper proof anything that may be otherwise or refund original purchase price but not more than this amount. We give no warranty expressed or implied as to the growth or productivity. All orders are accepted without liability for non-performance if labor shortages or delay in transportation should prevent us from making delivery. The parties hereto agree that any dispute arising out of the sale of these goods shall be arbitrated exclusively in the Chancery Court for Warren County, Tennessee, and the State of Tennessee shall be the forum for any and all litigation that may arise from any sale of goods by the seller. Either party not prevailing in such action shall be liable to the prevailing party for reasonable attorney fees.
     
    WAIVER OF IMPLIED WARRANTIES
    WE ARE NOT RESPONSIBLE UNDER ANY CONDITIONS FOR THE LIVABILITY OR MERCHANTABILITY OF PLANTS THAT WE SHIP.  
    Claims for shortages should be made in writing within 10 days. We do not assume responsibility for stock damaged after acceptance by or in transit by common carrier. When any damage is apparent make it to your delivering carrier. 
        THIS WARRANTY WHICH IS GIVEN EXPRESSLY AND IN LIEU OF ALL OTHER WARRANTIES EXPRESSED OR IMPLIED OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE CONSTITUTES THE ONLY WARRANTY MADE BY THE SELLER. THIS IS IMPORTANT.
    PRICES: This is a wholesale price list based on present market conditions and subject to change without notice. All prices are F.O.B. McMinnville, Tennessee.
    MINIMUM ORDER: $100.
    PACKING CHARGES: Boxing and baling are charged for at cost of material used. When stock is loaded in bulk in customer's car or truck no packing charge is made. Packing charges will be billed with order.

    LIABILITY: All orders accepted subject to prior sale of stock and crop conditions and without liability for non-performance due to labor shortages, delay in transportation, or other causes beyond our control. If nursery stock proves untrue to description or variety name under which it is sold, upon proper proof, such nursery stock will be replaced or refund made in the original amount paid. We shall in no case be liable for any sum greater than the amount originally received for said nursery stock.
    CLAIMS: Claims for any cause must be made promptly upon receipt of stock. We will not honor claims after goods have been accepted, or when written report is not made within ten days after arrival of shipment. If plants are not accepted after being unloaded, the plants must be loaded back on truck at buyer's expense.
     
    TRANSPORTATION 
    ALL SHIPMENTS TRAVEL AT RISK & EXPENSE OF PURCHASER.
    Please furnish detailed shipping instructions and mode of shipment on order. In the absence of specific details we ship best and most economical way, but without assuming responsibility.

           AIR FREIGHT (We have access to a delivery service to Nashville airport  
                                        on a daily basis.)  
    *For truckload delivery write or phone. Full loads and combination trucks (minimum quantities) can be arranged except where prohibited by state or federal law. See Mileagechart.  
         All delivery charges are C.O.D. and must be paid when stock is delivered. Customers are responsible for unloading trucks. Customers picking up stock at nursery should use covered truck or bring tarpaulin.
